1. Acceptance of Terms

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and WanderWith ("Company", "we", "us", "our"), governing your access to and use of the WanderWith mobile application, website at www.wanderwith.online, and all related services (collectively, the "Service").

By downloading, installing, creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies referenced herein.

If you do not agree to all of these Terms, you must not access or use the Service. WanderWith was founded in April 2026. These Terms were last updated on August 10, 2026.

2. Definitions

• "Service" refers to the WanderWith mobile application (Android), the website at www.wanderwith.online, and all features, tools, content, APIs, and functionalities provided by WanderWith.
• "User Content" means all text, images, photographs, videos, messages, itineraries, budget records, poll votes, links, and any other materials or information that you upload, submit, post, or transmit through the Service.
• "Trip Workspace" means a collaborative digital space within the Service where trip members can jointly create and manage itineraries, budgets, chats, polls, galleries, and other trip-related content.
• "AI Features" means the artificial intelligence-powered itinerary generation, AI co-pilot chat, smart recommendations, and any other machine learning-driven functionalities within the Service.
• "Travel Agency Package" means a curated, published trip itinerary created by registered travel agencies or tour operators through the WanderWith Agency Hub feature.

3. Eligibility & Account Registration

• You must be at least 13 years of age (or the minimum age of digital consent in your jurisdiction) to create an account and use the Service.
• If you are between 13 and 18 years of age (or the applicable age of majority in your jurisdiction), you represent that you have obtained the consent of a parent or legal guardian to use the Service and that your parent or guardian agrees to be bound by these Terms on your behalf.
• You agree to provide accurate, current, and complete information during account registration and to keep your account information updated.
• You are responsible for maintaining the confidentiality of your account credentials. You agree to immediately notify WanderWith at wanderwithplan@gmail.com of any unauthorized use of your account.
• Each individual may maintain only one personal WanderWith account. Creating duplicate or fake accounts is a violation of these Terms.

4. Description of the Service

WanderWith is a collaborative, privacy-first travel planning platform that provides the following features and functionalities:

• AI-Powered Itinerary Generation: Automated creation of day-by-day travel schedules powered by artificial intelligence, customizable by destination, duration, group size, budget, and preferences.
• Collaborative Trip Workspaces: Multi-user trip planning environments where invited members can jointly edit itineraries, manage schedules, and coordinate logistics.
• In-Trip Group Chat: Real-time messaging within trip-specific channels for coordination and discussion.
• Budget Tracking & Expense Splitting: Shared expense logging, multi-currency support, custom split configurations, and net-debt settlement calculations.
• Group Polls & Voting: Democratic decision-making tools for choosing destinations, activities, restaurants, accommodations, and dates.
• Shared Photo Gallery: Collaborative media libraries where trip members can upload, view, and download shared trip photographs and videos.
• Saved Links & Bookmarks: Shared link collections for storing hotel bookings, flight confirmations, restaurant reservations, and reference URLs.
• AI Co-Pilot Chat: An in-trip conversational AI assistant that provides contextual travel recommendations, answers questions, and suggests schedule adjustments.
• Travel Agency Hub: A feature enabling registered travel agencies to create, manage, and publish curated trip packages for public discovery.
• Offline Access: Local device caching of trip itineraries, contacts, and essential data for use without internet connectivity.

5. Free Usage & Service Availability

The WanderWith Service is currently provided free of charge. There are no subscription fees, in-app purchases, premium tiers, or advertising paywalls required to access any feature of the Service.

We reserve the right to introduce paid features, premium tiers, or subscription plans in the future. In the event of such changes, existing free features will remain accessible unless otherwise communicated with at least 30 days' prior notice.

WanderWith is provided on an "as available" basis. We do not guarantee uninterrupted, error-free, or continuous availability of the Service. We may perform scheduled maintenance, updates, or emergency patches that may temporarily limit access to certain features.

6. User Accounts & Security

• You are solely responsible for all activity that occurs under your account, whether or not authorized by you.
• You must not share your account credentials with any third party or allow any other person to access your account.
• WanderWith will never ask you for your password via email, chat, or any other communication channel. Any such request is fraudulent and should be reported immediately.
• If you suspect unauthorized access to your account, you must change your password immediately and contact us at wanderwithplan@gmail.com.

7. User-Generated Content

A. Ownership

You retain full ownership and all intellectual property rights in any User Content you create, upload, or share through the Service. WanderWith does not claim ownership over your itineraries, photographs, messages, budget records, or any other content you produce.

B. License Grant

By uploading, submitting, or sharing User Content through the Service, you grant WanderWith a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, cache, display, reproduce, and distribute your User Content solely for the purpose of operating, providing, and improving the Service. This license is limited to what is technically necessary to deliver the Service to you and your invited trip collaborators.

C. Content Responsibility

You are solely responsible for the User Content you submit. You represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to submit such content.
• Your User Content does not infringe upon the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party.
• Your User Content does not contain unlawful, defamatory, obscene, harassing, or otherwise objectionable material.

D. Content Removal

WanderWith reserves the right (but has no obligation) to review, monitor, and remove User Content that violates these Terms, applicable law, or our community standards, without prior notice. We also reserve the right to remove content in response to valid legal requests, court orders, or reports of intellectual property infringement.

8. Intellectual Property Rights

The Service, including but not limited to its software code, user interface design, visual elements, logos, trademarks, brand identity, icons, illustrations, documentation, AI models, algorithms, and all underlying technology, is the exclusive property of WanderWith and is protected by applicable intellectual property laws including copyright, trademark, patent, and trade secret laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, disassemble, or create derivative works of the Service or any part thereof without our prior written consent.

10. Travel Agency Packages

WanderWith enables registered travel agencies and tour operators to create and publish curated trip packages through the Travel Agency Hub feature. With respect to Travel Agency Packages:

• Travel agencies are solely responsible for the accuracy, legality, and fulfillment of their published packages, including pricing, inclusions, exclusions, and terms of service.
• WanderWith acts solely as a platform for discovery and does not endorse, verify, or guarantee the quality, safety, or reliability of any travel agency or their packages.
• Any transactions, agreements, or disputes between users and travel agencies are strictly between those parties. WanderWith is not a party to such transactions and bears no liability for their outcome.
• Travel agencies must comply with all applicable local, national, and international laws and regulations governing travel services, consumer protection, and advertising standards.

11. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms and all applicable laws and regulations. You agree that you will:

• Treat other users with respect and courtesy in all interactions, including group chats, polls, and collaborative planning.
• Only invite individuals to trip workspaces who have consented to participate.
• Provide accurate information about yourself and your travel plans.
• Respect the intellectual property rights of WanderWith and other users.
• Report any bugs, vulnerabilities, or security issues to wanderwithplan@gmail.com instead of exploiting them.

13. Third-Party Links & Services

The Service may contain links to third-party websites, applications, or services that are not owned or controlled by WanderWith (including destination websites, hotel booking platforms, airline websites, and external travel resources). WanderWith has no control over, and assumes no responsibility for, the content, privacy policies, terms of service, practices, or availability of any third-party websites or services. You acknowledge and agree that WanderWith shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any third-party content, goods, or services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WANDERWITH, ITS FOUNDERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to access or use the Service.
• Any conduct or content of any third party on the Service, including other users, travel agencies, or AI-generated content.
• Any User Content or other content obtained from the Service.
• Unauthorized access, use, or alteration of your transmissions or content.
• Any travel decisions, bookings, expenses, or activities undertaken based on information provided through the Service.

IN NO EVENT SHALL WANDERWITH'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO WANDERWITH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED INDIAN RUPEES (INR 100), WHICHEVER IS GREATER.

16. Indemnification

You agree to defend, indemnify, and hold harmless WanderWith, its founders, directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any provision of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (d) any claim that your User Content caused damage to a third party; or (e) any travel activities, decisions, or transactions undertaken by you in connection with the Service.

17. Termination & Suspension

• By You: You may terminate your use of the Service at any time by deleting your account through the app settings (Settings > Account > Danger Zone > Delete My Account) or by contacting us at wanderwithplan@gmail.com.
• By Us: We reserve the right to suspend or terminate your account and access to the Service, without prior notice or liability, if we reasonably believe that you have violated these Terms, engaged in fraudulent or abusive behavior, or if continued provision of the Service to you is no longer commercially viable.
• Effect of Termination: Upon termination, your right to access and use the Service ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

18. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India.

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at wanderwithplan@gmail.com. We will endeavor to resolve disputes amicably within 30 calendar days.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.

20. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide you with additional notice (such as an in-app notification or email). Your continued use of the Service following the posting of revised Terms constitutes your acceptance of and agreement to the changes. If you do not agree to the new Terms, you must stop using the Service and delete your account.
